Terms of Service

1. Acceptance of Agreement

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "your") and Vyora Growth Academy ("we", "us", "our", "Academy"), regarding your access to and use of our website, e-learning platform, and multi-level referral programs located in Vadodara, Gujarat, India.

By registering an account, purchasing any educational packages, or participating in our affiliate program, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using our site and services.

2. Account Eligibility & Responsibilities

To register an account and utilize our services, you must be at least 18 years of age or possess the legal capacity to enter into binding contracts under the Indian Contract Act, 1872.

• Accuracy of Information: You agree to provide true, accurate, current, and complete registration details and KYC data.
• Account Sharing: Each account is granted a single-user personal license. Sharing login credentials, dashboard access, or course materials with third parties is strictly prohibited and will lead to immediate account suspension without refund.
• Account Security: You are solely responsible for maintaining the confidentiality of your password and credentials. You must immediately notify us of any unauthorized use of your account.

3. Course Access, Certification & Educational Disclaimer

Vyora Growth Academy provides premium AI e-learning content, digital courses, certification pathways, and live/recorded workshops.

• Scope of License: Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and view the course materials for your personal, non-commercial education.
• Course Access Validity (1-Year Term): Your access to the purchased educational packages (Basic/Vyora AI, Advance) is valid for exactly one (1) year (365 days) from the date of purchase. This renewal requirement does NOT apply to the White Label package.
• Upgrade Policy: If a user enrolled in the foundational course (Vyora AI Course - ₹1,499) chooses to upgrade to a higher tier package (Advanced Growth Course or White Label Partnership Agency), the previous foundational course access will be automatically deactivated. Upgrades require purchasing the higher-tier package at its full active price (₹11,500 or ₹50,000 respectively) and no credits, deductions, or discounts are carried over from the previous foundational package.
• Renewal Fees: To extend access to the courses and dashboard beyond the initial 1-year term, you must renew your subscription by paying a renewal fee equal to 50% of the active package price.
• No Earnings Guarantee: The training and workshops are designed for educational purposes. We make no representations, guarantees, or warranties regarding your future income, job security, business growth, or career advancement. Your success depends on your dedication, efforts, and market factors.
• Certification Criteria: Certificates of completion are issued strictly to students who successfully finish all modules and clear the assessment criteria of the specific course.

4. Referral Program & Affiliate Direct Selling Rules

We operate an optional 5-Level Team Earning Program Affiliate Matrix program where users can earn commissions by promoting and selling our educational packages. In compliance with the Consumer Protection (Direct Selling) Rules, 2021 (India), the following rules apply:

• Product-Based Commissions: Affiliate commissions are earned strictly on the successful sale of our digital packages (Basic, Advance, Whitelabel) to new customers. No commissions are paid for the mere recruitment or enrollment of other affiliates.
• Grace Period & Account Deactivation: If you do not renew your package within fifteen (15) days after your 1-year expiration date (the grace period), your LMS dashboard access will be completely disabled.
• Forfeiture of Earnings & Compression: If you fail to renew within the 15-day grace period, all your pending referral matrix commissions and active Team Earning direct-selling payouts will be permanently halted. In the 5-Level Team Earning Program matrix tree, your account will be compressed (bypassed), and your referral commission payouts will automatically roll up to your immediate active Upline sponsor.
• KYC and PAN Requirement: Payouts are made directly to bank accounts. Before commission disbursement, you must submit correct PAN details, Aadhaar proof, and Bank Account details in your legal name.
• Payout Schedule & Manual Withdrawals: Affiliates can manually request a payout withdrawal up to 4 times a calendar month. The minimum withdrawal amount is ₹1000. Only those affiliates who have completed their bank account verification (Aadhaar, PAN, and Bank details successfully approved through our Auto-KYC system) will be eligible to request withdrawals.
• Tax Deductions (TDS): Applicable Tax Deductions at Source (TDS) under Section 194-H of the Income Tax Act, 1961, will be deducted from all affiliate commissions before transfer.
• Code of Conduct: Affiliates must not make misleading claims, guaranteed income assertions, or display falsified income statements. Spamming, unethical cross-recruiting, or defaming the Academy will result in immediate termination of the affiliate account and forfeiture of pending commissions.

5. Strict No-Refund Policy

Once access to a package is provisioned or credentials are sent, we cannot revoke your consumption of the intellectual property. Therefore, all purchases of packages (Basic, Advance, Whitelabel) are strictly final and non-refundable. Please review course curriculums, requirements, and pricing plans thoroughly before making any payments.

6. Intellectual Property & Anti-Piracy

Unless otherwise indicated, all website designs, source code, databases, course videos, slide presentations, PDF resources, logos, and graphics are owned or licensed by Vyora Growth Academy and are protected under the Copyright Act, 1957 and trademark laws of India.

You are strictly prohibited from recording screens, downloading course videos, copying text, or distributing any proprietary academy material on external websites, drives, torrents, or social messaging networks. Any user found sharing or selling academy content will face immediate legal action, permanent platform ban, and claims for damages.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian laws, Vyora Growth Academy, its founders, and its team members shall not be liable for any direct, indirect, incidental, punitive, or consequential damages resulting from your use of the platform, your implementation of the AI skills taught, or the performance of your affiliate network.

8. Governing Law & Jurisdiction

These Terms of Service and your relationship with Vyora Growth Academy shall be governed by and construed in accordance with the laws of India.

Any legal action, suit, or proceeding arising out of or relating to these terms or our services shall be instituted exclusively in the competent courts located in Vadodara, Gujarat, India. You hereby consent and submit to the personal jurisdiction of such courts.
